Corporate Fee Quote

Corporate Fee Quote · Aurora, Ontario

Incorporation and corporate fees, before you call

Pick what your company needs, and you see our flat fee for each item, the HST and any filing or government fee. An Ontario incorporation is $1,000 for a numbered company or $1,250 for a named company, including the $300 Ontario filing fee and, for a named company, the NUANS search. HST applies to the balance, not to the $300, and a $125 Dye & Durham filing fee, with no HST, is added to every incorporation. All in, that’s $1,216.00 numbered or $1,498.50 named.

No retainer. No deposit. Invoiced after the work is delivered. The lawyer who incorporates your company is the one who keeps its minute book and drafts its shareholder agreement.

Build your quote

Legal fees are the ones on our published fee schedule. Government fees are the Ontario Business Registry fees in force today. Neither they nor the $125 Dye & Durham filing fee on an incorporation carry HST.

What does your company need?

Choose all that apply.

Numbered or named?

A numbered company uses its Ontario corporation number as its name. A named company needs a NUANS name search, which is included.

Add the first year of maintenance?

Year one is $300 with the incorporation, so $1,300 numbered or $1,550 named. It covers that year’s resolutions, the annual return and minute book storage.

Questions about the quote

Is the Ontario filing fee included?

Yes. Both incorporation prices include the $300 Ontario filing fee, with no HST on that $300, and the named-company price includes the NUANS search. A $125 Dye & Durham filing fee, also without HST, is added to every incorporation, so a numbered company comes to $1,216.00 all in and a named company to $1,498.50. Registering a business name has its own $60 Ontario fee. Ontario charges nothing to file an annual return or a notice of change.

What’s the difference between a numbered and a named company?

A numbered company uses its Ontario corporation number as its name and is $1,000. A named company is $1,250, including the NUANS search that checks your proposed name against existing names. Both prices include the $300 Ontario filing fee, and both carry HST on the balance plus the $125 Dye & Durham filing fee. A numbered company can still trade under a registered business name, for $87.50 + HST plus the $60 Ontario fee.

What does annual maintenance include?

The annual resolutions, the annual return and minute book storage, for $425 + HST a year per corporation. It renews each year only with your written consent. If you only need the annual return filed, that’s $87.50 + HST.

How is a shareholder agreement priced?

$2,000 + HST covers up to three shareholders and one round of revisions, and each additional shareholder is $250 + HST. Complex shareholder terms are billed at $350 an hour against a written estimate, and you see the estimate before the work starts.

What does buying or selling a business cost?

For a deal under $1 million, a review of the agreement is $1,500 + HST, and the full purchase or sale, asset or share, with the agreement, the due diligence review and the closing, is from $5,000 + HST. A deal over $1 million, or one with real estate or financing, is billed at $350 an hour against a written estimate. Searches and other disbursements are extra, at cost.
